We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason we deem appropriate.

4. Services Description

4.1 Marketplace Platform

SHIPEXD provides a marketplace platform that connects customers who need shipping services with verified transport providers (carriers). We facilitate the connection but are not a party to the actual transport agreement between customers and carriers.

4.2 For Customers

As a customer, you can:

• Post shipment requests with pickup and delivery details
• Review bids from verified carriers
• Select carriers based on price, ratings, and reviews
• Track your shipments in real-time
• Rate and review carriers after delivery

4.3 For Carriers

As a carrier, you can:

• Browse available shipment requests
• Submit bids on shipments that match your capabilities
• Communicate with customers through our platform
• Receive payments through our secure payment system
• Build your reputation through ratings and reviews

5. User Responsibilities

5.1 Customer Responsibilities

Customers agree to:

• Provide accurate shipment information and descriptions
• Ensure items are properly packaged and ready for pickup
• Be available at scheduled pickup and delivery times
• Pay agreed-upon fees in a timely manner
• Not ship prohibited or illegal items
• Provide honest ratings and reviews

5.2 Carrier Responsibilities

Carriers agree to:

• Maintain valid licenses, permits, and insurance
• Provide accurate vehicle and capability information
• Honor accepted bids and delivery commitments
• Handle shipments with care and professionalism
• Communicate promptly with customers
• Comply with all applicable transportation laws and regulations

6. Payments and Fees

6.1 Service Fees

SHIPEXD charges service fees for using our platform. Customers pay a service fee on each transaction, and carriers pay a commission on completed shipments. Current fee structures are available on our website.

6.2 Payment Processing

All payments are processed through our secure payment system. Customers pay when accepting a carrier's bid, and funds are held in escrow until delivery is confirmed. Carriers receive payment within 48 hours of confirmed delivery.

6.3 Refunds and Disputes

Refund requests must be submitted within 7 days of the scheduled delivery date. We will review disputes on a case-by-case basis and may issue full or partial refunds at our discretion. Our decision on refund disputes is final.

7. Prohibited Activities

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Post false, misleading, or fraudulent information
• Harass, abuse, or harm other users
• Attempt to circumvent our payment system
• Use automated systems to access our Services
• Reverse engineer or attempt to extract source code
• Ship prohibited items (hazardous materials, illegal substances, weapons)
• Create multiple accounts to manipulate ratings or reviews

8. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of SHIPEXD and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

9. Disclaimers and Limitations of Liability

9.1 Service Disclaimer

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our Services will be uninterrupted, secure, or error-free.

9.2 Third-Party Services

SHIPEXD is a marketplace platform that connects customers with independent carriers. We are not responsible for the actions, quality of service, or conduct of carriers or customers. We do not guarantee the safety, quality, or legality of items shipped through our platform.

9.3 Limitation of Liability

To the maximum extent permitted by law, SHIPEXD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of our Services.

10. Indemnification

You agree to indemnify, defend, and hold harmless SHIPEXD and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our Services, violation of these Terms, or infringement of any rights of another party.

11. Dispute Resolution

Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.
